Product & Packaging Image License Agreement
1. Grant of License Licensor hereby grants to Licensee a non-exclusive, non-transferable, and revocable license to use the images provided by Licensor (“Licensed Images”) solely for the purpose of printing on products, including but not limited to apparel, accessories, home decor, stationery and food packaging (“Products”).
2. Permitted Uses Licensee may use the Licensed Images for the following purposes: – Printing the Licensed Images on Products for sale to customers. – Displaying the Licensed Images on Licensee’s website, online stores, and marketing materials solely for the purpose of promoting the Products. – Printing the images on food packaging. – Printing the images on posters, prints and cards.
3. Restrictions Licensee shall not: – Alter, edit, or modify the Licensed Images without the prior written consent of Licensor, except for resizing or cropping necessary for the permitted use. – Use the Licensed Images in any manner that is defamatory, obscene, or otherwise illegal. – Sub-license, sell, rent, lease, or distribute the Licensed Images to any third party, except as necessary for the production and sale of the Products.
4. Ownership Licensor retains all right, title, and interest in and to the Licensed Images, including all intellectual property rights. Licensee acknowledges that this Agreement does not grant Licensee any ownership rights in the Licensed Images.
5. License Fee Licensee agrees to pay Licensor a license fee upon purchase for the use of the Licensed Images as specified in this Agreement.
6. Term and Termination – This Agreement shall commence on the Effective Date and continue unless terminated earlier as provided herein. – Termination: Either party may terminate this Agreement with or without cause by providing written notice to the other party. Licensor may terminate this Agreement immediately if Licensee breaches any term of this Agreement.
7. Indemnification Licensee agrees to indemnify, defend, and hold harmless Licensor from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Licensee’s use of the Licensed Images in violation of this Agreement.
8. Limitation of Liability To the fullest extent permitted by law, Licensor shall not be liable to Licensee for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or related to this Agreement or the use of the Licensed Images.
9. Governing Law This Agreement shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles.
10. Entire Agreement This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.
11. Amendments This Agreement may only be amended or modified by a written agreement signed by both parties.
